RED FLAG SUMMARY SHEET
Top issues creditors must understand Print red flags
Settlement is not cash; it is ASU-based. ASU value depends on future LSE listing and future share issuance. Mining asset ownership and licence status require independent verification. White Knight financial capacity is not proven merely by being named in the ES. Broad release may remove claims against guarantors, directors and related parties. No clear cash fallback if listing fails should be treated as critical risk. BVI ownership and control require full corporate registry verification. Mauritania MOA / permit / ANARPAM confirmation must be produced. GRDA receivable recoverability may materially affect liquidation comparison. RM0.35 ASU is not the same as RM0.35 cash unless independently valued and enforceable.

ASU RISK ASSESSMENT SHEET
Questions to determine whether ASU has real value Print ASU risk
Is the ASU a share, debt, derivative, trust interest or contractual promise? Who is legally liable to ASU holders? Is there a trustee and trust deed? Are future shares already issued, reserved or merely intended? Is there any cash redemption right? Is the ASU transferable? Is there an independent valuation? Is there a long-stop date? Do creditor claims revive if conversion/listing fails? Are lock-up/moratorium terms commercially reasonable?
